The task of the Election Committee is to make suggestions to the Annual Meeting for the number of directors, election of directors to the Board of Directors, election of Chairman of the Board of Directors, directors’ fees and principles for extra fees for, for example, committee work. Pursuant to a resolution of the Annual General Meeting, Anders Börjesson in his capacity of Chairman contacted the principal shareholders in order to let them appoint members of the Election Committee. In this way, in addition to Anders Börjesson, were appointed Tom Hedelius, Jan Andersson (representative of Swedbank), Pär Stenberg and Henrik Söderberg (representative of Skandia Liv) as members to be included in the Election Committee. Together, these individuals constituted the five largest shareholders as of 31 December 2006, representing approximately 49 percent of the votes.

The Election Committee held one meeting and has reconciled on a current basis during the work in preparation for the 2007 Annual Meeting. In the course of its work in proposing directors for the Board of Directors, importance is attached to experience and knowledge relevant to the business orientation of Lagercrantz Group. The Election Committee has had access to the evaluation the Board of Directors makes of its work. The rules pertaining to independent directors contained in the listing agreement of the OMX Nordic Exchange are observed. The proposals of the Election Committee are announced in connection with
the notice for the General Meeting and are also available at the Company’s website. No fees are payable for work performed on the Election Committee.
